Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ARCUS One (the “Service”), operated by Paradexo LLC, a Tennessee limited liability company (“Paradexo,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

ARCUS One is an AI assistant designed for healthcare workers. The Service processes prompts you submit through underlying AI models hosted by third-party providers, and returns responses based on those prompts together with profile and context information you have configured.

The Service is a productivity tool. It is not a substitute for clinical judgment, medical advice, or independent professional review by a qualified clinician.

You must be at least 18 years old to register for an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. Each account is for a single individual; sharing credentials is prohibited. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at support@paradexo.com if you suspect unauthorized access.

Plans and pricing

The Service is offered in three paid tiers, each billed monthly:

• Starter: $29 per month, 200,000 tokens per month.
• Professional: $89 per month, 1,000,000 tokens per month.
• Maximum: $149 per month, 2,500,000 tokens per month.

Tokens reset at the start of each billing cycle and do not roll over.

Token top-ups

Additional token packs may be purchased outside your monthly allowance. Top-up tokens are consumed before your monthly allowance on the next billing cycle.

Free trial

New accounts receive 50,000 trial tokens with no time limit and no credit card required. Paid features unlock when you select a paid plan.

Auto-renewal and cancellation

Subscriptions automatically renew at the end of each billing period until cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; your access continues through that period.

Refunds

Fees are non-refundable for partial billing periods except where required by applicable law.

You agree not to use the Service to:

• Engage in unlawful activity or violate any applicable law or regulation.
• Abuse, overload, or attempt to disrupt the Service or its infrastructure.
• Attempt to extract, reverse engineer, or derive the underlying model weights, training data, or proprietary algorithms.
• Use the Service for purposes outside its intended healthcare applications.
• Provide patient-facing diagnostic decisions or care recommendations without independent review by a qualified clinician.

Paradexo reserves the right to suspend or terminate accounts that violate this policy.

You retain all ownership rights to the content you upload to or generate through the Service (“User Content”). You grant Paradexo a limited, worldwide, non-exclusive license to host, process, and transmit your User Content solely for the purpose of providing the Service to you.

Paradexo does not use User Content to train AI models. User Content that includes Protected Health Information is governed by the Business Associate Agreement between you and Paradexo.

All rights to the ARCUS One software, the Paradexo brand, trademarks, logos, and all related intellectual property are owned by Paradexo or its licensors. Nothing in these Terms grants you any rights to Paradexo’s intellectual property other than the limited right to use the Service in accordance with these Terms.

All paid plans include a Business Associate Agreement (“BAA”) between you (acting as a Covered Entity or another Business Associate) and Paradexo LLC (acting as Business Associate). The BAA is presented and accepted as part of paid signup, and a signed copy is available for download from your account settings. The BAA governs Paradexo’s handling of Protected Health Information (“PHI”) and supersedes any conflicting term of these Terms with respect to PHI.

ARCUS One is a productivity tool. It does not practice medicine, render medical advice, or replace clinical judgment. Output produced by the Service is informational and must be reviewed by a qualified clinician before being used in connection with patient care. Paradexo is not a healthcare provider and assumes no responsibility for clinical decisions made on the basis of Service output.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARADEXO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PARADEXO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARADEXO’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PARADEXO IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL PARADEXO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF PARADEXO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless Paradexo and its officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or HIPAA-related right.

Either party may terminate these Terms at any time. Paradexo may suspend or terminate your account immediately upon material breach of these Terms, including violations of the Acceptable Use policy. Upon termination, your access to the Service will end. The data-handling obligations of the Business Associate Agreement survive termination as specified in that agreement. Provisions of these Terms that by their nature should survive (including Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law) will survive termination.

Paradexo may modify these Terms from time to time. Material changes will be communicated by email and an in-app notice. Continued use of the Service after notice of changes takes effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, your remedy is to discontinue use of the Service.

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Williamson County, Tennessee. Notwithstanding the foregoing, either party may seek relief in small claims court for claims that qualify.
